On his last day in office, New Jersey Attorney General (AG) Matt Platkin announced a consent order resolving a consumer fraud investigation into Skims Body, Inc. for charging consumers in New Jersey sales tax on items that are exempt under state law. Founded by Kim Kardashian, Skims is primarily an online retailer of apparel. The company agreed to pay $200,000 in civil penalties and to comply with the consent order’s injunctive terms.
Most clothing and footwear is exempt from New Jersey’s sales tax on tangible personal property. According to the consent order, however, Skims concedes that for about five years beginning in September 2019, the company “mistakenly” collected sales tax from New Jersey consumers on tax-exempt clothing.
The AG began investigating Skims in January 2024 after receiving a complaint that the company was improperly collecting sales tax. Based on that investigation, the AG concluded that Skims had been violating the New Jersey Consumer Fraud Act.
Before entering the consent decree, Skims fully remitted the improperly collected sales tax to the New Jersey Division of Taxation and took “steps to identify, communicate with, and reimburse” all affected New Jersey consumers for the sales taxes collected on tax-exempt clothing, “reimbursed the incorrectly collected sales tax to all impacted consumers it has located or that have contacted [Skims],” and “installed mechanisms and practices” to ensure that Skims does not collect sales tax on tax-exempt merchandise from New Jersey consumers.
As part of the consent decree, Skims has agreed to:
- Continue to implement and maintain systems and procedures to ensure that New Jersey consumers are not charged sales tax on tax-exempt merchandise;
- Use best efforts over the next four years to facilitate and complete any additional requests for refunds of sales tax from tax-exempt merchandise to any consumer in a reasonably timely manner after the requests for refunds have been submitted to Skims; and
- Refrain from violating any applicable state and/or federal laws, rules and regulations and from engaging in any unfair or deceptive acts or practices.
Skims does not admit that any of the acts or practices covered by the consent order are unlawful or unconscionable or otherwise violate New Jersey’s Consumer Fraud Act.
Why It Matters
The Skims matter is most notable because of the company’s affiliation with one of the world’s most prominent celebrities and influencers. The company’s affiliation with Kim Kardashian was not reflected in the consent order but was featured in the AG’s press release and drove press coverage of the settlement. The case highlights how a celebrity’s affiliation with a company may call significant public attention to regulatory enforcement actions against the company and raises the question of whether a celebrity affiliation may itself increase regulators’ interest in the company.
The settlement with Skims illustrates how state AGs can use unfair and deceptive trade practices acts like the New Jersey Consumer Fraud Act to impose significant penalties for violations of laws administered by other state regulators, such as the New Jersey Division of Taxation in this case. The prospect of such penalties is a factor that companies should consider in developing their regulatory compliance programs and ensuring that their practices comply with the laws of each state where they do business.
Finally, the absence in the consent order of any requirement for paying consumers restitution and the limited nature of the injunctive terms regarding reimbursement of consumers demonstrate some of the potential benefits of proactively working to provide relief to affected consumers in advance of a settlement with a state AG.
